Legal entity & trading name

Kei HR is a trading name of Keiko Labs (keikolabs.com). These terms are between you and the entity operating the Kei HR service under the Keiko Labs brand ("we", "our", "us").

Keiko Labs is registered in England and Wales. Company registration number: 15833345. Registered office: 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.

1. Agreement to terms

By accessing or using Kei HR ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree to these terms, you may not use the Service.

We may update these terms from time to time. We will notify you of material changes (e.g. by email or a notice in the Service). Continued use of the Service after changes constitutes acceptance of the updated terms. If you do not agree, you must stop using the Service.

2. The Service and your account

The Service is our HR management platform provided under the Kei HR brand. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes in accordance with these terms and any applicable plan or order.

You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; and (c) ensuring that your use of the Service complies with applicable law and these terms. You must notify us promptly of any unauthorised use of your account.

3. Acceptable use

You must not: misuse the Service; attempt to gain unauthorised access to our systems or other users' accounts; use the Service in any way that could harm, disable, or impair the Service or others; use the Service for any illegal purpose; or breach any applicable law or third-party rights. We may suspend or terminate access if we reasonably believe you have breached this section.

4. Subscription and payment

Paid plans are billed in accordance with the pricing and billing terms presented at sign-up or in your account (e.g. monthly or annual, in advance). You must provide accurate payment information and keep it up to date. Fees are non-refundable except where required by law or as otherwise stated in our refund policy.

We may change our pricing with reasonable notice. Price changes will apply at the start of the next billing period. If you do not agree to a price change, you may cancel before the change takes effect.

5. Intellectual property

The Service, including its design, features, software, and content (other than content you upload or provide), is owned by us or our licensors and is protected by intellectual property laws. You do not acquire any ownership rights by using the Service. You retain ownership of content you submit; you grant us a licence to use, store, and process that content as needed to provide and improve the Service.

6. Data and privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you agree to that policy. You are responsible for ensuring that any personal data you input or process via the Service is done in compliance with applicable data protection law (e.g. UK GDPR) and that you have appropriate legal basis and notices in place.

7. Limitation of liability

To the maximum extent permitted by applicable law:

  • We provide the Service "as is" and "as available"; we do not warrant that it will be uninterrupted or error-free.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising from your use of the Service.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim (or, if greater, the minimum amount permitted by law).

Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by law.

8. Indemnity

You agree to indemnify and hold us (and our affiliates, officers, directors, and employees) harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your breach of these terms; or (c) your violation of any law or third-party rights.

9. Termination

We may suspend or terminate your access to the Service at any time for breach of these terms or for any other reason with reasonable notice where practicable. You may cancel your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (e.g. intellectual property, limitation of liability, indemnity) will survive termination.

10. General

These terms constitute the entire agreement between you and us regarding the Service. If any part of these terms is held to be invalid or unenforceable, the remainder remains in effect. Our failure to enforce any right does not waive that right. These terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except that we may bring proceedings in your country of residence.
